1. Introduction

These Terms of Service ("Terms") govern your use of the admin control panel for game servers ("Service") provided by Innovative Studios LLC ("we," "our," or "the Company"). By purchasing, downloading, installing, or using our Service, you agree to be bound by these Terms.

2. Service Description

Innovative Studios LLC provides an admin control panel designed for managing game servers. We offer two service options:

Self-Hosting Option: Provides licensees with installation access to our software on their own servers.

Managed Hosting Option: A fully managed solution where Innovative Studios LLC hosts and maintains the control panel.

3. License Terms for Self-Hosting

When purchasing the Self-Hosting option:

a) Innovative Studios LLC grants you a non-exclusive, non-transferable license to use the Service on servers owned by you.

b) This license explicitly prohibits:

Redistribution, reselling, or sublicensing of the software

Installation on servers not owned by the purchaser

Violation of these license terms will result in immediate termination of your license without refund.

4. Terms for Managed Hosting

When subscribing to the Managed Hosting option:

a) Innovative Studios LLC will provide access to the control panel via our servers.

b) You will not have access to the codebase.

c) We reserve the right to modify, update, or maintain the Service at our discretion.

d) Service availability is subject to scheduled maintenance which will be communicated in advance when possible.

5. User Obligations

You agree to:

a) Provide accurate information during registration.

b) Maintain the confidentiality of your account credentials.

c) Use the Service in compliance with all applicable laws and regulations.

d) Not use the Service for any illegal or unauthorized purpose.

6. Intellectual Property

All rights, title, and interest in and to the Service, including all intellectual property rights, are and will remain the exclusive property of Innovative Studios LLC. Nothing in these Terms shall be construed as conferring any license to those intellectual property rights.

7. Payment

a) All fees are due in advance and non-refundable.

b) For subscriptions, you authorize us to charge your payment method on a recurring basis.

c) Prices are subject to change with notice before the billing period.

d) Failure to pay may result in termination of service.

8. Limitation of Liability

To the maximum extent permitted by law, Innovative Studios LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use or inability to use the Service.

9. Warranty Disclaimer

The Service is provided "as is" without warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

10. Termination

We reserve the right to suspend or terminate your access to the Service for any reason, including breach of these Terms, without prior notice.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of California, United States of America, without regard to its conflict of law principles.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of any material changes. Your continued use of the Service after such modifications constitutes your acceptance of the revised Terms.
